Lawrence (Larry) Evans is a seasoned business and real estate attorney. During his career, Larry has had a special focus on mergers and acquisitions for a variety of industries including automobile, software, professional and other services and manufacturing, to name a few. He has drafted, reviewed or edited just about every type of contract applicable in the commercial world. Larry also represents buyers, sellers, landlords and tenants of commercial real estate, and has substantial experience in commercial and real estate finance. His trial experience earlier in his career has given him a special skillset in business dispute resolution. Larry has developed special expertise in representing the various legal needs of automobile dealerships, and is pleased to represent several minority owned dealer groups. Larry also has substantial experience in business succession planning, executive compensation plans, employment agreements and separation agreements.

  • Represented the Seller in the sale of the largest residential real estate brokerage business in Oregon
  • Represented an original partner in an entity which successfully was awarded one of two FCC licenses to provide cellular service in the NW I-5 corridor; subsequently, represented the Seller of the partnership interest and a related business
  • Represented a software company in a sale to a NASDAQ company
  • Represented the interest of executives in business sales and private equity transactions
  • Represented a software company through various rounds of venture capital financing
  • Represented Buyers and Sellers of many automobile dealerships and related real estate including multi-franchise transactions
  • Represented developers in land acquisitions and in sales of developed subdivisions
  • Served as lead attorney for a dental company in purchasing two other dental companies involving institutional and subordinated seller financing
  • Represented Seller of training company to Fortune 100 Company
  • Negotiated license and other agreements with Fortune 100 Companies
  • Represented borrowers in many types of business and real estate financings

Law Practice Philosophy

My biggest win is to not merely serve as legal counsel for a business, but also to be considered part of the company’s strategic management team, and the personal and business advisor of the business owners and executives. This only results from the delivery of excellent service in a personal, relational way, at reasonable fees in a commercial world where legal fees and rates are growing astronomically. This philosophy has led to many of my clients becoming among my closest friends.
